In January 2025, America announced a National Energy Emergency (EO 14156), creating a unique opportunity for investors through Bimergen Energy ("Bimergen" or "the Company"). As one of the fastest-growing sectors within the U.S. energy landscape, utility-scale battery energy storage systems (BESS) are at the forefront of this shift. The rising demand for electricity driven by AI-powered data centers, electrification efforts, and the integration of renewable resources has made grid stability a crucial national concern. Bimergen is committed to developing BESS projects that not only generate sustainable revenue through daily energy arbitrage but also intelligently optimize the efficiency of the U.S. power grids. The U.S. EIA's February 2026 report indicated a growing appetite of utility-scale BESS installations in the United States having reached 18.2 GW in 2025, a 77% y-o-y growth.  With approximately 2 GW of its own 23 BESS projects in development, Bimergen is strategically positioned to meet this pressing demand. Upon completion of all its 2 GW BESS projects, the estimated annual revenue is projected to reach $400 million. Federal incentives like the federal investment tax credits (ITC) from the Inflation Reduction Act continue to serve as strong, immediate drivers for value creation in this exigent energy sector BESS. Bimergen can leverage substantial cash flow generated from ITC monetization once its projects commence commercial operations, thus facilitating a quicker expansion of its project portfolio.

In contrast to many early-stage developers, Bimergen has created a business model focused on capital efficiency and contract-backed revenues to achieve sustainable and scalable revenue growth, thereby minimizing operational risks. By securing large financings primarily at the project level while partnering with long-term institutional offtakers, the Company expects minimal corporate equity dilution. Additionally, by monetizing up to 50% of project capital expenditures during any commercial launch through federal ITC, Bimergen mitigates balance-sheet risks while generating stable and recurring cash flows. In addition to Project Operation revenues as its core sustainable revenue model, Bimergen anticipates initial Project Development revenues upon acceptances of projects. Its flagship 100 MW/ 400 MWh Redbird project in Texas is expected to commence commercial operations in early 2027 and will serve as a benchmark for scaling further assets from the Company's extensive pipeline. As a part of its accelerated revenue and growth plan toward portfolio expansion, in March 2026, the Company completed the acquisitions of 8 late-stage BESS projects in South ERCOT Texas region totaling approximately 80MW in which 5 projects are expected to start commercial operations by the end of 2026.
